Welcome to My Seller Mart Platform.

By registering as a Vendor/Reseller on My Seller Mart, you (“Vendor”) agree to comply with the following Terms & Conditions. Please read these terms carefully before submitting your Vendor Registration.

1. Vendor Registration

1.1. Registration as a Vendor does not automatically grant Vendor status.

1.2. All Vendor applications are subject to review and approval by My Seller Mart administration.

1.3. My Seller Mart reserves the right to approve, reject, suspend, or terminate any Vendor account at its sole discretion, subject to applicable law.

1.4. A Vendor may not access Vendor privileges, place Vendor orders, or use Vendor facilities until the account has been approved by the Administrator.

1.5. Providing false, misleading, incomplete, or fraudulent information during registration may result in rejection or termination of the Vendor account.

2. Purpose of the Vendor Account

2.1. My Seller Mart operates as a product supply/reseller platform.

2.2. Vendors join the Platform for the purpose of promoting/reselling products supplied by My Seller Mart.

2.3. Vendors are not permitted to list, upload, add, or sell their own products through the My Seller Mart platform.

2.4. Vendors may only order and resell products that are made available by My Seller Mart.

2.5. The Vendor acknowledges that the products available through the Platform remain under the control of My Seller Mart, including product availability, product information, and applicable Platform pricing.

3. Vendor Orders

3.1. Approved Vendors may place orders through the My Seller Mart website for products available on the Platform.

3.2. The Vendor is responsible for providing accurate information when placing an order, including product quantity, customer/order details, shipping information, and any other required information.

3.3. A Vendor must not place fraudulent, fake, duplicate, or unauthorized orders.

3.4. My Seller Mart reserves the right to cancel or reject an order where there is suspected fraud, abuse, incorrect information, stock unavailability, payment problems, or violation of these Terms.

4. Commission

4.1. Vendors may receive a commission on eligible orders according to the commission rate established by My Seller Mart.

4.2. The current standard Vendor commission is:

Vendor Commission: 20%

Platform Share: 80%

4.3. Example:

If an eligible order has a product value of Rs. 1,000, the Vendor commission at 20% would be Rs. 200, while the Platform share would be Rs. 800, subject to applicable adjustments.

4.4. Commission calculations may be affected by cancellations, refunds, returns, discounts, coupons, taxes, shipping charges, payment charges, or other adjustments according to the Platform’s commission policy.

4.5. Commission is not considered finally payable where an order is cancelled, refunded, reversed, fraudulent, or otherwise determined to be ineligible under the Platform’s policies.

4.6. My Seller Mart reserves the right to change the commission rate by providing appropriate notice to Vendors.

5. Product Restrictions

5.1. Vendors must not attempt to create or upload their own products to the Platform.

5.2. Vendors must not modify, duplicate, manipulate, or misrepresent My Seller Mart product information without authorization.

5.3. Vendors must not use My Seller Mart’s product images, descriptions, trademarks, logos, or other intellectual property outside the purposes authorized by My Seller Mart.

5.4. My Seller Mart may remove unauthorized products, content, or listings and may suspend the responsible Vendor account.

6. Pricing and Promotion

6.1. Vendors may promote My Seller Mart products through their own permitted sales channels, subject to applicable laws and these Terms.

6.2. Vendors must not make false, misleading, fraudulent, or unauthorized claims regarding My Seller Mart products.

6.3. Vendors must not represent themselves as the owner, manufacturer, employee, or authorized representative of My Seller Mart unless expressly authorized.

6.4. Any Vendor promotional activity must comply with applicable advertising, consumer protection, intellectual property, and other applicable laws.

7. Customer Information and Privacy

7.1. Vendors must protect all customer information they receive in connection with their business activities.

7.2. Vendors must not sell, share, misuse, publish, or disclose customer information without proper authorization.

7.3. Customer information must only be used for legitimate purposes related to the relevant order or authorized business activity.

7.4. Vendors must comply with applicable privacy and data-protection laws.

8. Fraud and Abuse

The following activities are strictly prohibited:

• Fake orders
• Fraudulent transactions
• Multiple accounts created for abuse
• Manipulation of commissions
• Unauthorized use of payment methods
• Self-referrals or fraudulent referrals
• False customer information
• Abuse of coupons or discounts
• Attempting to obtain unauthorized commissions
• Attempting to access another Vendor’s account
• Circumventing Platform security or restrictions

My Seller Mart may suspend or terminate accounts involved in suspected fraudulent or abusive activity, subject to applicable law.

9. Returns, Refunds and Cancellations

9.1. Orders are subject to My Seller Mart’s applicable Return, Refund and Cancellation Policy.

9.2. If an order generating Vendor commission is subsequently cancelled, returned, refunded, or reversed, the related commission may be cancelled, adjusted, or deducted from future Vendor earnings.

9.3. Vendors must cooperate with My Seller Mart regarding legitimate customer complaints, returns, refunds, and order investigations.

10. Vendor Account Security

10.1. Vendors are responsible for maintaining the confidentiality of their account credentials.

10.2. Vendors must not share their account or password with unauthorized persons.

10.3. Vendors are responsible for activities conducted through their account unless they can demonstrate unauthorized access.

10.4. Vendors must immediately notify My Seller Mart if they suspect unauthorized access to their account.

11. Prohibited Activities

A Vendor must not:

• Sell or promote illegal products or services.
• Use the Platform for fraudulent purposes.
• Attempt to manipulate orders or commissions.
• Upload unauthorized products.
• Misuse Platform content or intellectual property.
• Attempt to bypass Platform restrictions.
• Create multiple accounts for unauthorized benefits.
• Provide false registration information.
• Engage in activity that may damage the reputation or operation of My Seller Mart.

12. Suspension and Termination

12.1. My Seller Mart may suspend, restrict, or terminate a Vendor account if the Vendor violates these Terms or applicable policies.

12.2. My Seller Mart may also restrict Vendor access while investigating suspected fraud, abuse, unauthorized activity, or other violations.

12.3. Upon termination, the Vendor must stop using My Seller Mart’s Vendor facilities and any Platform materials that are no longer authorized for use.

12.4. Any legitimate outstanding financial obligations may be settled according to the Platform’s applicable policies and subject to applicable law.

13. Intellectual Property

13.1. My Seller Mart retains all rights to its trademarks, logos, website content, product information, images, designs, software, and other intellectual property unless otherwise stated.

13.2. Vendor registration does not transfer ownership of any My Seller Mart intellectual property to the Vendor.

13.3. Vendors may only use Platform intellectual property as expressly permitted by My Seller Mart.

14. Changes to These Terms

My Seller Mart may update these Vendor Terms & Conditions from time to time.

The updated version will be published on the Website, and continued use of Vendor services after the effective date of the updated Terms may constitute acceptance of the revised Terms, subject to applicable law.

15. Acceptance

By submitting the Vendor Registration form, the Vendor confirms that:

The Vendor acknowledges that:

• Vendor registration requires Administrator approval.
• Vendor access may be restricted until approval.
• Vendors may only order/resell products supplied by My Seller Mart.
• Vendors cannot add or sell their own products on the Platform.
• Vendor commission is currently 20% on eligible orders, subject to the Platform’s commission, refund, cancellation, and payment policies.
• Violation of these Terms may result in suspension or termination of the Vendor account.
